Study on Financial Risk and Countermeasures in Enterprise Mergers and Acquisitions--Take LVMH’s Acquisition of Tiffany as an Example

M&A is an important approach for enterprises to achieve industrial upgrading and scale effect, reduce operating costs, and promote the diversified development of enterprises. The financial risks that often appear in the process of M&A are the key to the success of M&A and the reorganization of enterprises. Existing equity and economic problems make enterprises easily fall into financial disputes and cause huge losses. Investment and mergers are important ways for enterprises to expand scale, enter new markets, and acquire new technologies or mature brands. Through investment and merger, market share can be increased, competitiveness can be enhanced, and the financial statements of enterprises can be enhanced, but risks in merger and acquisition are also accompanied. Through the case study of LVMH Group’s merger and acquisition of Tiffany, this paper will analyze the financial risks and countermeasures in the merger and acquisition and extract feasible and effective measures from LVMH Group’s treatment methods to help both parties control the risks in the merger process and achieve the purpose of merger and acquisition.

Classification, trends, features and regularities of the architecture of oil and gas enterprises

The results of the study of the architectural and planning structure of enterprises and objects of the oil and gas complex are highlighted in the article. During the research, enterprises of the oil and gas complex were identified, which fulfill their original function and are in good condition. The complexes, in which the previous purpose has changed, are in satisfactory condition, partially or completely destroyed. Buildings and constructions XIX - beginning 20th century, which have survived to the present time, are a valuable historical, urban planning and architectural heritage. After analyzing the source base of enterprises and objects, they were classified according to the following characteristics: production function, location in the settlement, size, dimensions and shape of plots, nature of the relief, functional activity, preservation of the architectural ensemble, buildings and structures, according to the architecture of buildings (by type), about capacity-planning and constructive features. Characterization of the architecture of buildings by location, type (administrative, administrative-residential, residential, recreational, industrial, auxiliary, warehouse), volume-planning, structural features, preservation and functioning was carried out. The main features and regularities of the architectural and urban planning organization of selected objects and enterprises are defined, which consist in the location, characteristics of master plans, analysis of the industrial and spatial environment, allocation of the main function, description of volume-planning and constructive features of various historical periods.In the work, for the first time, the classification was carried out, the main trends, features and regularities of the architecture of complexes and objects of the oil and gas industry in the territory of Ivano-Frankivsk, Lviv and Ternopil regions were determined. Such characteristics become the basis during the application of methods of reorganization of enterprises and objects of the oil and gas complex.

The article outlines general requirements for accounting and financial reporting in the context of reorganization of enterprises.

The Reevaluation of Tangible Fixed – Accounting and Tax Implications

Abstract The revaluation of the assets represents the economic operation as a result of which the carrying amount of the assets is correlated with their current value, thus ensuring relevant data registration in annual financial statements and, through this, more accurate information of accounting data users. The evaluations made during the reorganization of enterprises (fusions, divisions) don’t form a revaluation, these evaluations aiming the determination of the exchange ratio of all the balance sheet elements. Exceptions are the cases where the date of the financial statement that underlies the reorganization is the same date of the annual financial statements. The revaluation of tangible assets is made at their fair value at the date of the balance sheet. The assets’ fair value is determined based on evaluations usually made by authorized evaluators, according to the law. The historical costs principle is based on the hypothesis of the stable monetary union, which means that is respecting the nominal values of the currency without taking into account of the purchasing power variations. The practice in the field showed that the application of the fair value in accounting is leading to obtain annual financial statements which provide better information regarding the present and future performances of the economic entity.

Enterprise’s Strategies to Deal with Epidemic Crisis Based on Super-Dynamic Capability Theory

In this paper, the supply chain management risks arising from 2019-novel coronavirus (hereinafter referred to as “COVID-19”) outbreak was proposed, and they were further analyzed from three main aspects such as change in demand conditions of domestic customers, change in domestic supply market, impact on domestic logistics industry. Besides, multiple feasible strategies for coping with such epidemic situation were proposed for enterprises based on the super-dynamic capability theory. The research in this paper has powerful theoretical value and practical significance for the current development of enterprises, especially the reorganization of enterprises under the current epidemic crisis in China.

Enterprise Income Tax Evasion from Real Estate Transfer Activities in Vietnam and Recommendations

The current laws on land, investment, business, real estate, taxation and other relevant laws in Vietnam are still not tight and inappropriate, and also contain many loopholes. As a result, many businesses have real estate transfer activities, but tax evasion in many forms and ways causes great loss to the state budget, affecting the business environment and bad impacts on the current socio-economic-political situation in Vietnam. From the author’s study on Vietnam's legal regulations, based on analysis, comparison, aggregation from statistical data, specific studies of some hypothetical cases are made to see the legal loopholes that businesses Vietnam takes advantage to avoid tax. It is common to observe that the methods used by many businesses including: performing tricks to minimize taxable income directly from real estate transfers, making fraudulent transactions that conceal real estate transfer contracts, taking advantage of the law on reorganization of enterprises and tax policies to separate enterprises for real estate transfer, transferring of shares to avoid tax, or colluding with competent state agencies on the investment, environmental resources, and tax to avoid corporate income tax. From there, the author proposes the recommendations to improve the law on land, taxes and other relevant legal documents. Analysis and Control of Bankruptcy and Reorganization Processes: Case Studies Using Accounting Data

The article is devoted to the justification and development of recommendations for improving the use of accounting data for the analysis and control of bankruptcy and reorganization processes of enterprises. It is determined that in conditions of financial and political instability, the activities of enterprises are accompanied by crisis situations, which may result in insolvency or bankruptcy. The peculiarities of processes of bankruptcy and reorganization of enterprises, using the methods of economic analysis, analysis of financial state and efficiency of the investigated company, as well as evaluated the effectiveness of the use of accounting data for analysis and control of processes of bankruptcy and reorganization of enterprises. Overview of cases in business practice for which the company is liquidated. The state and volume of activity of the basic enterprise in the context of the main indicators of financial statements for the last three years are analyzed. As a result of the analysis of the enterprise, it is proved that LLC Agrocomplex is profitable, with positive growth trends for most of the main indicators of economic activity. To identify signs of a crisis, the company assessed the threat of bankruptcy based on rapid diagnostics. The authors proved that the two-factor model for assessing the probability of bankruptcy of an enterprise shows that the probability of bankruptcy for LLC Agrocomplex is very low. The authors prove that when analysing the financial condition of an enterprise, a situation may arise when some indicators of the discriminant model for a particular enterprise may be very low compared to their “normal” values, and others - on the contrary, too high, which is also “bad". It is proved that their combination can indicate a stable financial condition of the enterprise, since it is the calculation of one integral indicator based on all input factors at the same time.

Given the instability of the political and economic situation, which negatively affects solvency of domestic enterprises and threatens their bankruptcy, issues of financial recovery of economic entities are now becoming particularly relevant. Within the article, importance of the reorganization of enterprises in the context of ensuring their financial stability, liquidity and solvency in crisis conditions is considered; it is proved that reorganization is an objective necessity of market management; it is complex and covers financial, production, organizational and social aspects of the enterprise operation. Theoretical approaches to the definition of reorganization are studied; the author's vision of this term is substantiated, the main purpose of reorganization of enterprises is defined. A statistical analysis of the state of bankruptcy proceedings and the effectiveness of its procedure during 2011 – 2019 is carried out.

Duopoly, Optimal Proportion of State-Owned Shares and International Cross-Ownership

This paper constructs a duopoly model to study the optimal international cross-ownership and state-owned shares proportion when domestic state-owned enterprise competes with foreign-funded enterprise in home market or against local enterprise in foreign market under Cournot competition. The results indicate that whether to implement international cross-ownership or not and the proportion of state-owned depend on the implementing subject of cross-ownership, competitive environment, the efficiencies of state-owned and private capitals, and so on. The proportion of state-owned shares may influence the action of international cross-ownership in some cases. Complete nationalization is optimal choice under specified condition. These conclusions have certain significance for the formulation of privatization policies in various countries and the merger and reorganization of enterprises in the international scope.

Estimation of efficiency of formation of integrated formations on the basis of economic-mathematical model

Scientific experience and practice have determined that an important aspect of optimizing the process of reorganization of enterprises in the structural integrated education is a well-developed and well-built methodological approach that allows to take into account the complexity of the functioning of the previously established structure. Thus, various statistical and economic-mathematical methods used to carry out a comprehensive assessment of the effectiveness of economic activity or its individual parties were considered, which allowed, based on the "Pattern" method, in which the basis of standardized values of characteristics are not average, but the best of the indicators, to develop an economic and mathematical model for assessing the effectiveness of the formation of integrated structures. Arguing for the conclusion about the composition of indicators used in assessing the efficiency of the production structure when joining the network, it should be based on several key indicators instead of a set of non-essential ones, which should: reflect the key success factors taking into account the trends of the past, present and future; characterize the balance of interests and reflect the needs of customers, shareholders and staff of the company; take into account all levels of the organization and be consistent. At the same time, the indicators may change as the company's strategy and market situation change. The proposed economic and mathematical model, which allows to evaluate the effectiveness of integration processes, is an important tool of management, including for the grain processing industry. The approbation carried out in the conditions of the Voronezh grain company proved not only the expediency of its use, but also the advantage of the developed model in comparison with the existing methodological approaches in a dynamic environment.

INDUSTRIAL ENTERPRISES REORGANIZATION IN PRIORITY DEVELOPMENT TERRITORIES

The reorganization of enterprises on the basis of supply chains between the centers of financial accounting and its further registration in the territories of advanced development is presented. The advantages to businesses in the areas of advanced development are considered. Major tasks of internal and external revenues of the centers of financial accounting are emphasized. The types and principles of functioning of centers of financial accounting are presented. Business results from the reorganization of the enterprise through the organization of centers of financial accounting are specified. There are ways of reducing loss-making enterprises in the territories of advanced development.

ВЗАИМОДЕЙСТВИЕ МОДЕЛЕЙ ОРГАНИЗАЦОННОГО ЖИЗНЕННОГО ЦИКЛА ПРЕДПРИЯТИЙ И ИХ РЕОРГАНИЗАЦИИ

The objective of this scientific research is to develop a theoretical model of organizational and technology-related processes of reorganization of industrial enterprises, as well as their interaction. Multipoint logic notions of growth and interaction phases are used as research methods. The author describes the basic stages of reorganization, the life cycle of industrial enterprises and the cycle of their transformation. The processes are presented as an infographical image that represents a concentric model of interaction. This concentric model represents interaction between two or more phases. The process is entitled infografical modeling on the polyfunctional level. The concentric model moves both clockwise and anti-clockwise. Basic organizational and technological processes of reorganization of industrial enterprises that include decision making in terms of expediency of reorganization, design, construction, and performance of industrial enterprises at full capacity, and further operation of the industrial enterprise are described in the paper. Attainment of this objective, namely, reorganization of an industrial enterprise, involves a huge amount of resources, including labour resources that need interaction with all parties of reorganization; therefore, the concentric model of interaction describing the basic cycle of reorganization, the life cycle of an industrial enterprise and the cycle of its conversion is a trustworthy representation of this process. The proposed concentric model of interaction should be used in the design of organizational and technology-related processes for integrated consideration of reorganization of enterprises required to understand and improve the efficiency of reorganizations and to control the reorganization of industrial facilities.

Community Discovery via Metagraph Factorization

This work aims at discovering community structure in rich media social networks through analysis of time-varying, multirelational data. Community structure represents the latent social context of user actions. It has important applications such as search and recommendation. The problem is particularly useful in the enterprise domain, where extracting emergent community structure on enterprise social media can help in forming new collaborative teams, in expertise discovery, and in the long term reorganization of enterprises based on collaboration patterns. There are several unique challenges: (a) In social media, the context of user actions is constantly changing and coevolving; hence the social context contains time-evolving multidimensional relations. (b) The social context is determined by the available system features and is unique in each social media platform; hence the analysis of such data needs to flexibly incorporate various system features. In this article we propose MetaFac (MetaGraph Factorization), a framework that extracts community structures from dynamic, multidimensional social contexts and interactions. Our work has three key contributions: (1) metagraph, a novel relational hypergraph representation for modeling multirelational and multidimensional social data; (2) an efficient multirelational factorization method for community extraction on a given metagraph; (3) an online method to handle time-varying relations through incremental metagraph factorization. Extensive experiments on real-world social data collected from an enterprise and the public Digg social media Web site suggest that our technique is scalable and is able to extract meaningful communities from social media contexts. We illustrate the usefulness of our framework through two prediction tasks: (1) in the enterprise dataset, the task is to predict users’ future interests on tag usage, and (2) in the Digg dataset, the task is to predict users’ future interests in voting and commenting on Digg stories. Our prediction significantly outperforms baseline methods (including aspect model and tensor analysis), indicating the promising direction of using metagraphs for handling time-varying social relational contexts.
