Abstract
The theory of efficient breach of contract is one of the core components of the economic analysis of contract law. This paper makes a review of this theory. On this respect, and starting from an instrumentalist perspective, consistent with law and economics, the paper claims that efficient breach is an inadequate approach towards the analysis of remedies for breach of contract.

¿Cuál es el sentido del Derecho de Contratos? La teoría contemporánea no ofrece una respuesta unívoca. Es plausible sostener que la moral de las promesas no es el fundamento normativo, sino que simplemente un límite sustantivo del Derecho de Contratos el cual pese a ello puede tener una justificación instrumentalista. Evidentemente, plantea una dificultad para quien cree que la razón que justifica la institución del Derecho de Contratos está dada por la moralidad de las promesas o los derechos naturales de las partes. Como sugiero infra, esa idea cumple un papel central y una perspectiva instrumentalista debe incorporarla, ella es insuficiente para justificar por sí misma la institución del Derecho de Contratos, y debe ser complementada con otros valores políticamente relevantes. Entonces, es el de superar esas deficiencias sin perder de vista el sentido y la justificación del Derecho de Contratos como institución, tarea en la que este trabajo pretende ser una contribución
