Abstract
In light of the active development of the oil and gas sector in the Russian Federation and the attraction of foreign investors to this industry, it is of paramount importance to conclude shareholders' agreements between Russian oil and gas companies and foreign shareholders. The relevance of this topic is contingent upon several factors. Firstly, the Russian oil and gas industry continues to attract foreign investment, and the conclusion of shareholders' agreements with foreign shareholders becomes an integral part of this process. Secondly, such agreements have a considerable impact on the corporate governance system of Russian oil and gas companies, as well as on the efficiency of their operations. Thirdly, in consideration of the evolving geopolitical landscape and growing risks associated with international relations, it is important to examine the features and challenges associated with the conclusion of shareholders' agreements between Russian oil and gas companies and foreign shareholders. The objective and goals of this study is to explore the features of the conclusion, content, and implementation of shareholders' agreements between Russian oil and gas companies and foreign shareholders. In order to achieve comprehensive economic and legal stability within Russia's oil and gas sector, it is essential to conduct a thorough examination of the features inherent to the conclusion of shareholders' agreements and to develop effective regulatory mechanisms for these agreements. The article provides practical examples of various agreements, which will help to gain insights from successful cases and study unsuccessful agreements to avoid missteps in the future and develop mechanisms for preventing and resolving conflicts.
