Corporate Governance in Business: A Review of Qualitative Literature

The research is based on the impact of corporate governance in the business sectors. In that case, a systematic review has been done including 10 articles on similar topics. The PRISMA and CASP tool has been taken into consideration and a PICO question has been formed that highlights the agenda of the research. In addition, the primary articles have been reviewed to highlight their corporate governance is necessary for the financial status and the management of the company. Based on that, the Board of Directors (BOD) are responsible for the modification and strategizing of the corporate governance of the company. Bibliometric analysis of corporate governance: Past, present, and future research agenda

During the 1990s and 2000s, the importance of strong corporate governance (CG) was acknowledged more widely due to the occurrence of major corporate failures. As a result, there was a greater focus on corporate responsibility, transparency, disclosure practices, and risk management to enhance accountability. Moreover, following the 2008 financial crisis, CG has become an increasingly important topic in the fields of business and economics in recent years, particularly. Despite this, there has been no comprehensive examination of the subject to date. The current study seeks to address this gap by providing a retrospective analysis of the emergence of CG in business and economics. The bibliometric methodology was used in this research involving four steps: defining the aims and scope of the study; selecting appropriate techniques for the analysis; collecting data; and running the analysis and presenting the findings. Thus, bibliometric analysis was conducted on 3126 scientific research articles, retrieved from the Scopus database, which combined the keywords of CG and economics and business to identify and map the cumulative scientific knowledge in these fields by analyzing large volumes of unstructured data in a rigorous manner and exploring the emerging areas in the fields. Co-citation and bibliometric-coupling analyses were employed to determine the thematic structure of CG research from 2008 to 2022, revealing 7 clusters of research that highlight the focus and directions of the field. VOSviewer and MS Excel software were used to analyze the data and identify the most active scientific contributors in terms of countries, institutions, sources, documents, and authors. Our analysis demonstrated an increasing publication trend in CG research from 2008 onwards, with a particular emphasis on its application in business and economics. Additionally, the top three contributors to the literature were found to be the UK, the USA, and Australia. The study outlines several potential avenues for future research that could deepen the body of knowledge in this field of CG.

This article examines the state of corporate social responsibility in Russia, the dynamics of development of this area under the influence of the banking sector and it’s development prospects. The paper reveals the content of the following aspects: corporate social responsibility, the role of corporate governance in business, the role of the banking sector in the development of responsible investment. The study is relevant because it reflects the interest of Russian business in the topic of corporate responsibility, which has been growing since 2020 and is facing obstacles due to the situation in the world.

Elaborating on a new entrepreneur typology from the corporate governance perspective

Objective: This work aims to build a new entrepreneur typology in line with corporate governance approaches adopted by the enterprises and therefore to adequately implement public policy and strategy about entrepreneurship, since governance is an important basis for decision-making. Research Design & Methods: To achieve the above objective, associations are established between entrepreneur types and corporate governance approaches via multiple correspondence analysis with grouping method for discretization and variable principal for normalization. Findings: Findings highlight a new entrepreneur typology, which comprises four types of entrepreneurs with regard to corporate governance approaches. The new typology is as follows: structure-oriented shareholder; behaviour-oriented stakeholder; legal control oriented and economic-managerial control oriented. Implications & Recommendations: This work has theoretical implications which reside in the need to use corporate governance for strategic modelling. It also has practical implications in that it is easier and more appropriate to make decisions from corporate governance approaches than from types of enterprises. Thus, enterprises and the state must take advantage of these implications to improve the entrepreneurship productivity. Contribution & Value Added: This work conceives a new entrepreneur typology in line with corporate governance. Thus, it allows promoting strategic modelling based on corporate governance in business and public areas.

CEO succession decision in family businesses – A corporate governance perspective

Abstract Using a comprehensive database of Taiwanese family-owned business, this study investigates chief executive officer (CEO) selection decisions in family-owned businesses. Our data sample is composed of 129 listed family businesses from 1998 to 2008. By employing theories of family-owned business succession and corporate governance, the study examines the influence of chairman of the board (COB) and CEO duality, current CEO/family relations, and shareholding ratio of outside directors on CEO-selection decisions in family-owned businesses. The results demonstrate that a family-owned business is more likely to select an intra-firm member as the new CEO when the incumbent CEO is a family member. Moreover, a family-owned businesses are prone to selecting new CEOs from external sources when the shareholding ratio of outside directors is greater. Based on the findings, the study can contribute to CEO succession research and family-business research in emerging economies.

PurposeThe aim of this paper is to investigate how values from within Abrahamic religions could be adopted to improve liberal market economies’ (LMEs’) corporate governance business practices.Design/methodology/approachThe concept of spiritual capitalism is explained from an Islamic perspective by adopting three universal Abrahamic values to critically analyse LMEs and offer an ethical alternative to current capitalism concerns.FindingsIt is found that LMEs can be improved by considering all stakeholders, putting ethics before economics, and introducing shared risk/reward plus lower debt.Originality/valueThe paper compares LMEs/Co‐ordinated market economies (CMEs)/Islamic countries economies (ICEs) within an ethical framework for LMEs.

The Sustainability of Business Corporate Governance: Evidence from the Malaysia Public-Listed Companies

This paper focuses on the corporate governance issues surrounding Malaysian companies especially after the financial crisis and capital control. The issues on the institutional investors on corporate governance surrounding Malaysia especially after the Southeast Asia financial crisis remain an interesting topic. Corporate governance covers the way in which the varying interests of the major constituents of a company, namely the board of directors, management and shareholders are managed. In the changing environment, strategic decision-makers have witnessed the emergence of a new stakeholder group, institutional investors, which include public and mutual funds, investment bankers, insurance companies and private firms.
