Abstract

This chapter discusses employee agreements for technology business. Technology company needs clear, reasonable, and legally enforceable form agreements with the employees to secure intellectual property for the company, protect confidential information, and secure protection against competition. Employee agreements help to secure the company value that employees create. These agreements are fundamental for every technology company, and using them should be a routine part of the hiring process at the company. The contents of these form agreements may require changes to adapt to the company's situation. There are state laws that may affect whether an employee noncompetition restraint is enforceable or unenforceable wholly or in part. An attorney should advise the right form (or forms) of employee agreement, and any applicable state law rule.
