Abstract
The purpose of this paper is to systematically review the emergence and structure of corporate governance in Indian context. Accounting scandals like Enron, Waste Management, Worldcom, Tyco, Satyam, etc. have shaken the investors’ confidence. The need of the hour is to have corporate governance regulations to be practically applicable according to the country specific situations. The motivation behind this study is that in spite of having impressive growth pattern in India, the published academic work on Corporate Governance is less as compared to other developing countries of the world. The present study is going to examine the relationship between the elements of board composition on the financial health of a firm, which may provide useful insights into the factors that may be taken into consideration. The paper will help the regulators, policymakers, stakeholders, and the academicians in this direction and provide a future scope of action.
