Arbitration is an option that businesses frequently use to resolve conflicts. Arbitration, as an institution in the field of judicial proceedings outside of public courts, is a highly useful way of settling disputes or disagreements that arise in the fulfillment of agreements or contracts, particularly in both national and international private law. This arbitration organization is commonly utilized in commercial and investment transactions. In this research, the approach used is normative juridical, which evaluates and tests secondary facts in the form of positive law. This research is descriptive and analytical in nature. arbitration is a way of resolving a civil dispute outside the public courts based on an arbitration agreement made in writing by the parties to the dispute. Individuals or institutions can settle disputes through arbitration. Arbitration is increasingly being utilized to settle national and international commercial disputes. The role of international arbitration is facilitated by the existence of international arbitral institutions. These bodies include The London Court of International Arbiitration, The Court of Arbitation Of The International Chamber Of Commerce, The Arbitration Institute Of The Stockholm Chamber Of Commerce, and Indonesian National Arbitration Board.

The Jurisdiction of China International Commercial Court: substance, drawbacks, and refinement

The wave of setting up international commercial courts has emerged internationally. Following the trend, China established the China International Commercial Court (CICC) in 2018. The CICC exercises consensual jurisdiction and non-consensual jurisdiction over international commercial disputes, and has jurisdiction to support international commercial arbitration. This article analyses the CICC’s criteria for determining international commercial disputes and the specific requirements for each type of jurisdiction based on the relevant provisions and judicial practice of the CICC. In addition, this article identifies the drawbacks of the CICC’s current jurisdiction system, and provides several suggestions for refinement, including the modification and clarification of the criteria for determining the internationality and commerciality of disputes, the removal of restrictions on jurisdiction agreements, the clarification of substantive standards for case transfer, and the expansion of its jurisdiction to support international commercial arbitration.

FORMAL AND LEGAL BASIS FOR THE INSTITUTIONALISATION OF INTERNATIONAL COMMERCIAL ARBITRATION: 100 YEARS OF EXPERIENCE

The article reveals the formal-legal basis for the institutionalisation of international commercial arbitration. It is found that states are still far from a unified understanding of the basic scope of human rights, but they have a clear common vision of the mechanism for protecting the interests of international commerce. Against the background of the economic and innovative successes of the EU and other countries in the world that have made human rights a priority, it would appear that the source of modern transnational trade problems lies precisely in another group of states in which commercial interests dominate human rights. This second type of state nourishes its development at the expense of the innovations of the first type of state, its constructive and passionate representatives. Innovative solutions are formulated by the freest people, whose freedom is legally and organisationally guaranteed, which becomes a source of release for their creative, productive existential energy. Therefore, the contradictions between these two types of entrepreneurs of nations give rise to commercial disputes regarding the path of development, as well as legal conflicts within each of these types of nations regarding the vector of development or decline. Strategically, it is an ontology of modern problems of international commercial disputes. It is emphasised that the institutionalisation of international commercial arbitration is conceived as the creation of legal models for interpretation, determination of cause-effect relations, assessment of all essential circumstances of commercial relations, about which the parties of this type of social interaction have not reached an agreement and are forced to turn to mediators, to whom they entrust jurisdiction over the dispute between them. It was noted that the legal reality of the institutionalisation of international commercial arbitration reflects the path of human development, which at the present stage is marked by crisis. Logical, rational, clear law is in a permanent process of critical evaluation of the synergy of creative, risky, adventurous, pragmatic entrepreneurship. Ideal legal models absorb the constructive activity of entrepreneurship, foreseeing its long-term prospects as positive. At the same time, it is the task of lawyers to reject those types of economic relationships that threaten common humanity. In conclusion, the UN Commission on International Trade Law is the only global body designed to ensure the optimal course of correlation processes between private international law and transnational commercial activity. At the same time, however, this Commission suffers from all the consequences of the UN's dysfunction. This is particularly evident in the UN's inability to prevent wars, famines, environmental disasters, military crimes and other global crises. It is advisable for the states to create a separate organisation in which they can coordinate their legal standards of joint entrepreneurship in the extractive industries, production, trade, finance, as well as the global environmental, national economic and other consequences of commercial projects. This organisation would become a convenient platform for honest parity in the unification of the legal practice of transnational entrepreneurship and the settlement of its disputes, based on the legal customs and traditions of different nations. This would provide a significant impetus for the healthy creation and application of international private law, capable of determining the vector both of global progress and of appropriate transformations in domestic national economic policies.

Joinder Mechanism in International Commercial Arbitration: A Trend in the Digital Age?

AbstractIn recent years, the phenomenal development and application of technology have given rise to new means and forms of international commercial dispute resolution. In particular, in the post-COVID era, the demand for efficient, flexible and cost-saving dispute resolution methods has increased significantly. Therefore, technology-enabled digital methods such as online arbitration, have become more widely accepted and applied. At the same time, globalisation has turned international commercial disputes increasingly complex, which often involves the interests of third parties. According to data released by arbitral institutes, about 40% of arbitration cases worldwide involve more than two parties. As there is an increasing number of multi-party arbitration cases, multi-party dispute resolution mechanisms have played a more prominent role in such circumstances. Digitalisation and globalisation have facilitated multi-party projects, but they have also inevitably increased risks in multi-party disputes. For instance, arbitration is a business-friendly process, but the consensual nature of arbitration does not easily accommodate multi-party disputes. Although digitalisation in the conduction of arbitrations has made it more efficient and increased the access of multi-party commercial disputes to resolution, it still has not helped arbitration overcome the basis of party’s consent. This paper will examine the joinder mechanism in international commercial arbitration, focusing on its interaction with traditional theories and principles of arbitration, the joinder provisions in the rules of several leading arbitral institutions (e.g. ICC, LCIA, HKIAC and SCAI), and the value of the joinder mechanism in the context of digitalisation.

By concentrating on the few recognised instruments of private international law, the article analyses problems in international commercial dispute resolution arising from Brexit. In particular, the paper deals with the relevance of, firstly, the 2007 Lugano Convention on jurisdiction and the recognition and enforcement of judgments in civil and commercial matters; secondly, the 2005 Hague Convention on Choice of Court Agreements; and, thirdly, the 2019 Hague Convention on the Recognition and Enforcement of Foreign Judgments in Civil or Commercial Matters, all in the context of Brexit. Contextual analysis of each of the said instruments pays particular attention to the challenges specific to each of them. Therefore, for example, the article discusses the EU’s arguments in relation to its refusal to allow the United Kingdom to join the aforementioned 2007 Lugano Convention as well as varying perspectives on the moment when the 2005 Hague Convention begins to apply to the United Kingdom. Finally, the paper discusses the relevance of the recent 2019 Hague Convention in the context of Brexit.

Will Virtual Hearings Remain in Post-pandemic International Arbitration?

The pandemic has catalysed to hasten the wider use of virtual hearings in international arbitration. However, the promotion of virtual hearings in international commercial dispute resolution was more complex than commonly thought due to the highlighted concerns of cybersecurity and breach of confidentiality in arbitration. The worries against the wide use of virtual hearings cannot stand because technological innovations can largely improve and solve this. However, virtual arbitration hearings may not be common post-COVID times. Technology shapes how people behave, interact, grow, and develop in their relationships with others and wider communities. Yet greater immersion in the digital world undoubtedly creates new challenges and can adversely affect human-to-human interactions. There is very little scientific study on the psychological impacts of virtual hearings on arbitrators,witnesses and counsels. It is too early to assess its effectiveness from the user's perspective until the much-needed scientific data is released. Virtual hearings are unlikely to replace in-person ones necessary for more complex and high-value disputes requiring greater interaction and personal connection. Strategically, international arbitration is a private initiative-orientated, flexible, and market-driven dispute resolution mechanism. The parties are best positioned to choose the hearing format after balancing off.

Recognition and Enforcement of Annulled Arbitral Awards Under the New York Convention 1958

Purpose: The arbitral awards are enforceable internationally under the Convention on the Recognition and Enforcement of Foreign Arbitral Awards, 1958. The Convention provides the discretion to the courts in enforcing State either to enforce or reject the international arbitral awards. The award set aside at the seat of arbitration is not enforceable, however the courts in some jurisdictions enforced such awards. In this context the paper examines how the courts in different jurisdictions justified while enforcing the annulled awards. Theoretical framework: Arbitration mechanism is frequently used for settlement of international commercial disputes. It enables party autonomy in drafting arbitration agreements, choosing the applicable law and determining the arbitration seat. According to Article V (1)(e) of the New York Convention the national courts may refuse to recognize or enforce the foreign award if it was set aside or annulled at the seat of arbitration or under law of which such award was given. In some jurisdictions the enforcing courts considered the annulment procedure followed by the courts and if such procedure was unfair, the courts in enforcing country have agreed to enforce the set aside awards. Design/methodology/approach: The author followed the legal analysis method to examine the approach of the courts from different jurisdictions that have enforced the annulled foreign arbitral awards and the legal comparative method observed to study the judicial decisions from various jurisdictions. Findings: The study concludes that Article V (1) of the New York Convention gives discretionary power to the enforcing courts regarding enforcement of foreign arbitral award. Hence, the courts in some jurisdictions enforced the annulled award if the set aside procedure was unfair, based on local grounds, biased, violated basic norms of justice, against the parties’ agreement or applied domestic law instead of the New York Convention. To secure the enforcement of award, the parties to the arbitration may agree that the arbitral award is not subject to challenge in any court at the arbitration seat or in the state in which the award is enforced and prefer a pro-arbitration State as a seat of arbitration. Research, Practical & Social implications: The study provides practical guidance to the arbitrating parties in drafting arbitration agreements to ensure the enforcement of an arbitration award internationally. Originality/value: The research on enforcement of annulled award under the New York Convention immensely helpful in guiding the arbitration parties in drafting the arbitration agreement, choosing arbitration procedure and seat of arbitration.

A STUDY ON THE «ONE-STOP» DIVERSIFIED INTERNATIONAL COMMERCIAL DISPUTE RESOLUTION PLATFORM OF THE CICC IN THE CONTEXT OF THE BELT AND ROAD INITIATIVE

China has proposed to establish a «One-Stop» diversified international commercial dispute resolution platform (hereinafter «One-Stop» platform) in the CICC that effectively combines litigation, mediation and arbitration, which is one of the innovative measures of the CICC. However, the mechanism to effectively combine these three dispute resolution methods in the «One-Stop» platform is insufficient, the international expert committee has not been able to fully play its role, and there are difficulties in the recognition and enforcement of settlement agreements, arbitration awards, and court judgments after dispute resolution. In response to the above problems, the procedural mechanism of the «One-Stop» platform should be improved, the duties of the expert committee should be clarified, and China should consider introducing more diversified international treaties and improving domestic legislation so that the operation of the «One-Stop» dispute resolution platform can be supported by law. With such legal support, the operation of the «One-Stop» platform can provide public legal service products that are more in line with international needs.

Once Singapore Convention on Mediation was adopted in 2018 and it has become possible to facilitate performance of the international commercial settlement agreements resulting from mediation abroad interest to mediation as a means of settlement of the international commercial disputes started to grow. In the eyes of the lawyers such mediated settlement agreements have much in common with the awards of international commercial arbitration, the most popular dispute resolution tool for disputes arising during foreign trade activities. Today in the age of turbulence and chaos mediated settlement agreements allow to satisfy the needs of business in the expediate settlement of foreign trade conflicts on the terms acceptable for the parties and to obtain guarantee of quick, simple and cost-efficient performance of the agreements reached. For this reason, it is worth considering adjustment of the internal laws to the best world practices. Article considers the means available under the Russian laws to make mediated settlement agreement enforceable and the tests it would have to undergo on the way. Deeming it advisable for Russia to join the Singapore convention on mediation, author concludes that it is necessary to prepare the internal legislation for such step as it was done, e.g., in Belorussia. Possible solution could consist either in introduction of a special chapter on granting relief in connection with the performance of international commercial mediated settlement agreements corresponding to the provisions of the Singapore Convention on mediation and the UNICTRAL Model law on mediation in the Russian Code of Procedure with Commercial Courts or in the adoption of a separate law on international commercial mediation. Since international commercial arbitration and the internal arbitration are regulated in Russia by two separate laws taking into account the special features of the disputes resolved, it would be logic to keep dualistic regulation for mediation as well.

Primary Connecting Factors Considered by South African Courts to Determine the Applicable Law of International Contracts on the Sale of Goods

Issues on choice of law are sometimes very complex, and the resulting outcome may be determinative of most litigations. This is especially true where the litigation concerns cross-border transactions involving states with diverse laws and different legal traditions. Thus, it is important for parties to be able to accurately predict the applicable law of their international sales contract in advance to enable them to plan the activities relating to their contracts with certainty. The existence of uncertainty with regard to the applicable law in most legal systems (especially at common law) makes it difficult for contracting parties to plan or resolve disputes that may arise from their commercial contracts, either by themselves or by the court. This situation is an unpleasant one which presents an undesirable state of affairs to the business world. At common law, although it is true that the legal certainty required with respect to the applicable law of international commercial contracts can be achieved by a choice of law clause, it should be noted that most of such contracts do not contain this clause. This article attempts to contribute to existing literature on choice of law for contract in South Africa and also provide solutions, based on the underlying principles of private international law of contract, that effectively address the uncertainty in this area of law. To achieve its task, the article examines the various connecting factors considered by the South African courts in determining the applicable law (also, the proper law or governing law) of international contracts in situations where the parties do not insert a choice of law clause in their international contracts for sale of goods. The factors considered in this regard include the place of conclusion of contract, domicile, habitual residence and place of performance. These factors, in most situations, serve as the primary connecting factors considered by the courts in arriving at an answer with regard to the objective proper law/applicable law of an international sale contract (and other international commercial contracts) in South Africa. Further, the article examines why it is important for South African courts, and common law courts in general, to even go through the exercise of determining the applicable law in matters of international commercial disputes and not simply rely on the lex fori in dealing with such litigations (since, a lex fori approach might be much easier).

Recently, the application of new technologies such as blockchain and AI is being sought as a way to improve the speed and efficiency of arbitration procedures. In particular, after COVID-19 in 2020, international trade parties have been improving work efficiency by communicating with counterparties and arbitrators through computer screens from time to time without space restrictions to handle dispute resolution procedures. AI e-document initiation system and algorithms that use prediction-based coding to identify, classify, and extract main contents of large-scale documents are being discussed.BR In this article, I examine the applicability of AI in international commercial disputes. The structure of this article is as follows. First, the concept and characteristics of ODR and AI are overviewed. Second, the support of AI technology in the arbitration process is reviewed. The procedural features of arbitration include the process of proceeding based on the autonomy of the parties, the fairness and independence of the arbitrator, and the arbitration award by the arbitrator. Third, in order for AI arbitration to replace human arbitrators, I intend to review the legal applicability of arbitral awards focusing on the New York Convention on Recognition and Enforcement of Arbitral Awards.

International Dispute Resolution of BRI-Related Cases: Changes and Challenges

ABSTRACT Xi Jinping launched the One Belt and One Road Initiative at the end of 2013, known now as the Belt and Road Initiative (BRI). This article aims to outline trends in solving BRI-related disputes with a special focus on China–Africa Joint Arbitration Centres, the China International Commercial Court, and the International Commercial Dispute Prevention and Settlement Organization. This begs the question of whether the newly emerging institutions in China will significantly affect the international dispute resolution landscape. Are those new entities strong and transparent enough to compete with already well-known and recognized international institutions? China takes actions to provide an entire range of services to solve BRI-related cases and proposes an innovative and holistic approach to cross-border disputes stemming from the BRI.

Construction and Application of International Commercial Dispute Resolution Mechanism Model

In specific judicial practice, the ODR mechanism has played an important role in the settlement of e-commerce disputes and network disputes. However, ODR is still in the exploratory stage in many aspects, and it is inevitable that there will be some problems. This article focuses on the A priori algorithm and frequent pattern growth algorithm in association with rule mining learning. The shortcomings of A priori algorithm and frequent pattern growth algorithm are described and researched accordingly, and an improved algorithm for learning A priori association rules based on matrix is proposed. By analyzing the international commercial dispute resolution mechanism in the Internet era, this article constructs an international commercial dispute resolution mechanism platform. By analyzing the process of disputes in foreign trade e-commerce transactions, this article proposes a method to automatically capture gateway dispute information through automated management system tools to improve the efficiency of the gateway. The algorithm in this paper scans the transaction database only once, and according to the matrix structure, it performs the logical AND operation of the row vector representing the data item in the matrix, and it learns frequent item sets quickly and accurately. The entire process effectively reduces the time consumption and space occupation required for frequent item set learning. According to the effective measurement method of the association rules, the effective association rules are extracted from the frequent item set. Through the realization of functions such as allocation, viewing, dispute handling, and statistics in the management tool, the progress and processing efficiency of the gateway dispute handling can be effectively managed. In addition, this article gives the dispute handling process of the website itself, adds the process of automatic completion of disputes by buyers and sellers through agreements, and improves the tools of the CS manual handling management system. The data results show that the method in this paper greatly improves the efficiency of handling disputes in foreign trade e-commerce transactions.

Chinese International Commercial Courts: Overview and Potential Questions Around It

People’s Republic of China (PRC) established China’s International Commercial Courts (CICC) and became one of the global competitors that offers international commercial dispute settlement service. Basically, the CICC formed to assist the enhancement of the “Belt and Road Initiative”. The formation of the CICC was an important progress in the judicial system of the PRC. The Supreme People’s Court (SPC) of the PRC equips the CICC with the necessary judicial interpretation. This article analyses the establishment of the CICC and its significant features. The goal of this research is to illustrate a detailed overview and thorough research regarding to the CICC. The current work also provides answers to the potential misunderstandings around the CICC. Based on the existing works of distinguished scholars some improvements regarding to CICC is incorporated in the research. The author also provides a comprehensive analysis of the functioning and structure of the CICC.

Opportunities, Challenges and Strategies: A Current Overview of Commentaries Towards the Singapore Convention Within China

Even though the Singapore Convention is recognized as a landmark in the history of the international dispute resolution area, it is still in its infancy. Given China's economic influence and Hong Kong's position in the Asia-Pacific commercial dispute resolution market, China's ratification would greatly enhance the Singapore Convention's impact in international commercial dispute resolution market and hence promote the use of commercial mediation. However, it remains uncertain as to whether, when and how the Singapore Convention would enter into force in China, even though China's one of the first signatories. Current commentaries within China towards Singapore Convention do not only reflect the potential benefits for China to ratify the Singapore Convention, but also difficulties that China might face and strategies to overcome these difficulties, which might form the basis for future decision-makings related to commercial mediation in China.

Punitive Damages Awards in International Arbitration: Franchising Case

This article is written to evaluate the practical significance of punitive damages in the field of arbitration concerning international commercial disputes and franchise disputes. It finds that punitive damages awards are frequent in domestic arbitrations in the United States but not internationally common. This article discusses the severity of the punitive damages awards to explain why such decisions are not frequent in international trade disputes; it still has a significant influence that concerns the contracting parties, making them exclude punitive damages in their agreements. This article also explains the reasons for limiting the use of these punitive damages. The first one is the limitation of punitive damages applied to arbitration. Indeed, punitive damages are only recognised under a handful of domestic arbitration laws in a number of countries, especially the ones associated with contract claims. Secondly, the enforceability of such awards is internationally limited due to public policy. Therefore, this difficulty caused the arbitral tribunal to refuse to award such damages. Finally, the statistics on punitive damages award in international commercial arbitration are scarce, so the article refers to provide and analyse the cases that are not international-thereby discussing and evaluating the suitability of punitive damages in the context of international commercial arbitration

Specialized State Courts — a Relevant Forum for Resolving International Commercial Disputes

Государства Азии, Ближнего Востока и Европы совершенствуют коммерческое договорное право, реформируют судебные процедуры и создают инновационные специализированные суды по рассмотрению международных коммерческих споров, чтобы их правовые системы могли играть весомую роль в развитии национальной экономики в условиях мировой глобализации. Создание подобных специализированных судов в ряде стран расширило выбор способов защиты участников мирового бизнес-сообщества. За последние десять-пятнадцать лет международные торговые (коммерческие) суды образованы, в частности, в Казахстане, Китае, Нидерландах, Сингапуре, Франции. Новые инициативы по учреждению подобных судов находятся в стадии реализации - например, в Швейцарии данный вопрос стоит на повестке дня правительственных органов. Распространение международных торговых (коммерческих) судов в Европе, ряде азиатских стран и других регионах мира вызвало значительный интерес как у научного сообщества, так и у практиков. В данной статье содержится основанный на иностранных источниках обзор порядка разрешения международных коммерческих споров специализированными судами. Автор выявляет ключевые особенности, в том числе с точки зрения процессуальных нововведений, и основные причины, вызвавшие создание специализированных торговых судов в рамках правовых систем отдельных государств. Рост количества специализированных судов по рассмотрению международных коммерческих споров обусловлен рядом причин. Среди них выделяются: необходимость укрепления национальной экономики, обеспечение ее конкурентоспособности в глобальном масштабе; рост конкуренции в борьбе за рынок юридических услуг; заинтересованность в обеспечении верховенства права в международной торговой и финансовой деятельности; специализация судебной деятельности; повышение престижа и репутации национального права на международных рынках. Образование международных торговых (коммерческих) судов - это пример того, как государства оказывают поддержку национальной экономике, используя на арене международного бизнеса свою силу в виде судебной системы, предлагая соответствующие комфорт, выгоду и преимущества.
