Abstract
The description of benefits under an employment contract may not be adequate to ensure receipt of such benefits without adverse tax and business consequences to employees and employers. Many forms of executive compensation are subject to tax and ERISA requirements that are difficult or impossible to satisfy within the framework of an employment contract. This article outlines what types of executive compensation arrangements require separate formal documentation and filings apart from an employment contract and briefly describes the nature of such requirements.
