Abstract

the authors conclude that the institution of mandatory offer has been a part of the Russian legal order since the adoption of the Federal Law No. 208-FL "On Joint Stock Companies" on December 26, 1995. The authors note the legal problems of protecting the rights of minority shareholders within the framework of a mandatory offer, and also reveal the legal regulation of this institution in the laws of the USA, Great Britain and Russia and determine the legal nature of mandatory offer as a means of protecting the rights of shareholders.
