Abstract

The paper investigates the operational and legal frameworks governing special purpose vehicles in the context of structured finance transactions. It seeks to assess whether the existing applicable law governing parties’ duties and liabilities in this very delicate area of finance is sound and fit for the purpose, and in highlighting its shortcomings, a number of proposals are presented.
