The disposition of the rights of members to participate in the distribution of profits in limited liability companies

Abstract

The disposition of property rights is an integral part of civil-law transactions. Legal relations related to the disposition of the right to participate in the distribution of profits remain a little-known topic. Due to the preponderance of limited liability companies among commercial corporations, there is a need for the most effective management of members’ assets. The article analyzes the ways in which members may dispose their obligation claims arising from the corporate right of participation in the distribution of profits, including during the period of sanctions.
