Abstract
The board of directors is legally entitled to play the major leadership role in an industrial organization; but the actual power and effectiveness of this time-honored institution varies greatly. The author explores the reasons for ineffectiveness and offers concrete suggestions on how boards of directors may restructure and reconstitute themselves.
