Abstract Surface photometry for the edge-on SO galaxy NGC 4762 has been obtained, using the 2.5 m duPont telescope at Las Campanas Observatory. Brightness profiles both parallel and perpendicular to the equatorial plane indicate that the galaxy has four components: a nuclear bulge; a bar; a lens; and an outer ring. The important differences in the kinematical structure of these components are discussed in detail. It is suggested that NGC 4762 is an edge-on barred galaxy with its bar oriented obliquely to the line of sight at an angle of 33 degrees (+ or - 10 degrees).
