Medical Institutions as a Merchant-by Legal Construction

Abstract

의료법은 의료기관의 개설주체를 제한적으로 설정하고 있을 뿐 의료기관이 영리성을 추구 할 수 있는가에 대해서는 특별한 언급이 없다. 동법 시행령 제20조에서 “의료법인과......의료기관을 개설한 비영리법인은 의료업을 할 때 공중위생에 이바지하여야 하며, 영리를 추구하여서는” 안 된다고 규정하고 있다는 점 등을 고려하면, 의료법은 적어도 의료법인 및 의료기관을 개설한 비영리법인의 영리성 추구에 대해서 부정적인 입장에 있다고 여겨진다. 이러한 입장은 헌법재판소 및 대법원의 견해에서도 동일하게 드러난다. 결국 의료인이 직접 의료기관을 개설하거나 적어도 의료기관을 개설한 비영리법인이 그 목적 달성을 위해 필요한 범위 내에서 제한적으로만 영리성을 추구하는 것이 허용된다고 보아야 할 것이다. 그런데 대법원은 1987. 3. 24. 선고 85다카2219 판결에서 상법상 명의대여자 책임과 관련하여 의료업이 상행위로서 상법이 적용될 여지가 있음을 천명함으로써 의료기관에의 상법상 적용 가능성을 열었다. 본 논문에서는 의료기관의 상인성 인정 가능성 여부를 검토하기 위하여 관련 법에 따른 의료기관의 설립 기준에 대한 원칙과 그 예외에 대해 검토하고, 이를 바탕으로 의료기관의 상인성 인정 여부를 상법상 명의대여자 책임과 연관하여 고찰하기로 한다.Under the Medical Service Act, a “medical institution” used means a place where medical personnel provide medical services or midwifery services (hereinafter referred to as “medical service”) to the general public or multiple specific people, and no medical personnel shall provide medical services, unless and until he/she establishes a medical institution in accordance with this Act. Also, medical corporations, as well as non-profit corporations that have established medical institutions under the Act, shall contribute to public hygiene and not seek profit, in conducting business of medical treatment (including incidental business that medical corporations conduct under the Act). The Korean Supreme Court and the Constitutional Court have noted the negative opinion on the possibility of seeking profits medical institutions. But, if medical institutions are able to seek profits by establishing for-profit medical corporations and other ways to manage their institutions, it will reduce medical coats and give high quality medical services as various medical needs. This article studies on how to recognize medical institutions as merchants-by legal construction under the Commercial Code by reviewing advanced studies and cases, in order to examine the applicable possibility of the regulation under the Commercial Code such as the liability of persons who have lent their names and other relevant rules.
