Abstract

This paper concerns the single-entity structure of Major League Soccer (MLS) and has five distinct parts, including an introductory section. The second part provides a more detailed summary of MLS’ business and operating structure. Next, Part III focuses on the legal background created by the Fraser and American Needle cases. The fourth section evaluates how MLS would be viewed in the legal chess game that may arise if MLS’ single-entity status were again challenged. The layout of this section roughly corresponds to the summary outline in Part II. Finally, Part V brings everything together into more detailed conclusions regarding the impact of American Needle on MLS and how MLS should respond.
