Abstract

Liquidation preference and participation rights are common features of term sheets involving the use of preferred stock in venture financing. This note illustrates the dramatic effect that these contract terms can have on the cost of venture financing. An illustrative spreadsheet model is available from the author (j_martin@baylor.edu).
