Abstract

Retention of title is one of the provisions in the contract for selling a property. Inessence, it is similar to granting the seller the right to "delay the transfer of ownership of theproperty" to the buyer. However, in the 2015 Civil Code, retention of title is recognized as oneof the measures to ensure the fulfillment of obligations. This article analyzes the content of thelegal provisions on retention of title, the shortcomings of the legal provisions, and proposessome recommendations to improve the legal provisions on retention of title in the VietnameseCivil Code.
