Abstract

Considering evolution of floating charges in England and blanket liens in America; different institutional structures shaping balances of rights between secured creditors, other creditors, and debtors; and implications of the institutionalist view on the current debates over English secured transactions law reform and on the proposal to abolish the fixed/floating charge distinction.
