Abstract

This article addressed the business theme involving the liability aspect of the members, arising from obligations arising from business activities. It has been demonstrated that EIRELI -Individual Limited Liability Company, regardless of imperfections in the approved normative text or the controversies pointed out by the doctrine, is considered an advance for corporate law, since it allows the formalization of entrepreneurs who are in Irregular situation. Therefore, it allows the constitution of a company without the need of a partner, shielding the personal patrimony of the owner.
