Abstract

When discussing the policies, procedures and guidelines that nonprofit boards must follow in their governance duties, references are often made to an organization's “founding documents.” But for some boards, there's confusion about which documents should include which information and provisions. In particular, experts note, there's a lack of clarity with regards to what should be included in the nonprofit's articles of incorporation versus its bylaws.
