The proposed sale of Hershey Foods during the summer of 2002 captured both headlines and imaginations. On the one hand, the board faced a challenging economic decision that centered on determining whether the solicited bids provided a fair premium for Hershey Foods' shareholders. On the other hand, the governance decision required the board to balance its fiduciary responsibility against the original mandate of Milton Hershey to support the Hershey School in perpetuity. This case has a variety of teaching supplements (videos and spreadsheets provided on a CD-ROM) to support a discussion for BBA, MBA, and executive audiences. The videos feature a member of the Hershey Trust board and the previous CEO of Hershey, who took a leadership role in the grass-roots resistance to the decision to sell Hershey Foods. The videos also highlight the uniqueness of Hershey, Pennsylvania, as a community through the testimony of its residents and through the sights and sounds of the town.
