Abstract

Harmonisation or convergence of European company law can be achieved by a toolbox of measures, which until now have been confined to EU Regulations, Directives, Recommendations and national Corporate Codes. In this context and due to the need to move European company law further forward, the European Model Law Group has developed the European Model Company Act (EMCA) which is envisioned to be a useful tool for European integration in this area. The objective of the EMCA is to establish a new way forward for European company law, by following the example of the US Model Business Corporation Act. This article gives an overview of the first edition of the EMCA, as published in September 2017.
