ABSTRACTThe literature on voluntary disclosure primarily focuses on management forecasts. However, the determinants of narrative voluntary disclosures, such as letters to shareholders, have garnered limited scholarly attention. This paper examines the impact of social trust on firms’ decisions to issue letters to shareholders. We find that firms in regions with higher social trust are more inclined to issue such letters. This effect is more pronounced for firms exhibiting weaker institutional environments, less influence from Confucianism and lower firm‐level credibility. Furthermore, we identify the mechanism through which social trust facilitates the issuance of letters to shareholders: curbing corporate misconduct. Lastly, we present evidence indicating a favourable market reaction to the issuance of letters to shareholders. Overall, our findings suggest that social trust enhances the credibility of information, thereby encouraging greater voluntary narrative disclosures. This study contributes to prior work on the determinants of voluntary disclosures and the influence of social trust. Additionally, this research enhances our understanding of disclosure practices related to letters to shareholders and offers some insights for regulators on how to improve disclosure practices by strengthening informal institutions.

Commercial Banks’ Attributes and Annual Voluntary Disclosure: The case of Libya

This study aims to investigateempirically whether there is any significant association between seven commercial bank-specific attributes (i.e. age of bank, size of bank, bank liquidity position, profitability, government ownership, foreign ownership, and listing status) and the extent of voluntary disclosure in the annual reports. Ordinary Least Squares (OLS) regression model is used to test the association between bank attributes and voluntary disclosure. The results of regression analysis indicate that banks size and listing status are significantly associated with the level of voluntary information disclosures. The findings also revealed the extent of voluntary disclosure in annual reports is notsignificantly influenced by other bank’s attributes.The current empirical study contributes to that investigation in the context of banking companies andprovides new insight into determinants of voluntary disclosure in the annual reports of listed and unlisted commercial banks.Keywords: Commercial Bank Attributes; Voluntary Disclosure;Annual reports; Libya

The relationship between recognised intangible assets and voluntary intellectual capital disclosure

Purpose – The capitalisation of intangible investments is discussed controversially in the financial accounting literature. International accounting standards are concerned with this issue and generally demand more intellectual capital to be recognised on the face of the balance sheet. If investors and analysts already gather monetary information about intangible assets from the financial report and find such information useful, then the necessity to complement such information with voluntary intellectual capital disclosure will diminish. Accordingly, there should be an association between recognised intangible assets and voluntary intellectual capital disclosure. The paper aims to discuss these issues. Design/methodology/approach – The authors analyse the voluntary disclosure of 264 investor conference and roadshow presentations of German DAX 30 firms in the year 2001, 2003, 2005, and 2007. The authors apply regression models to analyse the association between recognition of intangible assets and voluntary intellectual capital disclosure and control for other determinants of voluntary disclosure. Findings – The authors find that the magnitude of recognised intangible assets is significantly and negatively associated with the quantity and quality of voluntary intellectual capital disclosure. The authors show that this association is mainly driven by goodwill accounting. In more detailed analyses we find different directions (positive, negative and insignificant) of this relationship for different categories of intellectual capital. Research limitations/implications – Future studies on voluntary intellectual capital disclosure need to consider recognised intangible assets as a determinant to avoid omitted variable problems. Practical implications – The authors provide descriptive evidence about voluntary intellectual capital disclosure practice of Germany’s largest firms. Originality/value – The paper provides primary evidence on the association between recognised intangible assets and voluntary intellectual capital disclosure.

On the Determinants of Voluntary Disclosure by Indian Companies

In the current scenario of financial reporting regime, investors are increasingly looking at the disclosure practices of companies. The companies also face capital market pressures and need to disclose more than the regulatory norms. There could be several motivations for the companies to disclose more information voluntarily. This article explores the factors that determine the voluntary disclosure choices of the non-financial companies listed in the National Stock Exchange (NSE). The study uses a voluntary disclosure index (VDI) constructed by the authors with 81 financial and non-financial items across different categories such as strategy, forward looking, environment and social, etc. With the VDI, this study measures the voluntary disclosure levels for four financial years from 2009–2010 to 2012–2013 using the content analysis methodology. The study uses a panel data model to analyse the effects of three categories of variables, namely, firm characteristics, profitability and governance and found the fixed effect model to be suitable and leverage, size and institutional ownership emerged as the determinants of voluntary disclosures. The article is one of the first studies to use longitudinal data and a disclosure index specific to the Indian context.

We develop firm-specific voluntary and mandatory disclosure measures using information provided by firms in their 8K filings. Our measures allow for much broader coverage in the time-series and crosssection of firms relative to prior disclosure measures — depending on the prior measure used, we double or triple the sample size. We also show that an 8K-based voluntary disclosure measure subsumes voluntary prior disclosure measures employed (e.g., management forecasts, non-GAAP earnings, conference calls) and captures additional variation. We also document a positive association between our 8K-based voluntary and mandatory disclosure measures and firm characteristics frequently linked to overall firm disclosure. To support the usefulness of our measures, we reexamine the link between voluntary disclosure and investor sentiment, a theoretical relation with mixed empirical results in the literature. We find a negative relation between voluntary disclosure and investor sentiment, consistent with managers increasing disclosure to correct low-sentiment induced mispricing, even after controlling for the level of mandatory disclosure. Consistent with this story, mispricing is corrected more for firms that increase their corporate voluntary disclosure following low sentiment periods.

Determinants of voluntary disclosures in Kenyan companies annual reports

In recent years, the Kenyan Government has initiated reforms at the Nairobi Stock Exchange aimed at transforming the exchange into a vehicle for mobilising domestic savings and attracting foreign capital investments. Consequently, the corporate financial reporting, and in particular, the level of voluntary disclosure is a vital part of the process for building investor confidence (local and foreign) and trust. Drawing on prior corporate disclosure research, this study examines factors associated with voluntary disclosure of four types of information: general and strategic, financial, forward-looking, and social and board information in the annual reports of Kenyan companies. This study provides longitudinal examination of voluntary disclosure practices in the annual reports of listed companies in Kenya from 1992 to 2001. The study investigates the extent to which corporate governance attributes, ownership structure and company characteristics influence voluntary disclosure of various types of information. Due to the panel nature of our data, to estimate the determinants of voluntary disclosure of various types of information, we use pooled Ordinary Least Square (OLS) with Panel-Corrected Standard Errors (PCSEs). Our results indicate that, disclosures of all types of information are influenced by corporate governance attributes, ownership structure and corporate characteristics. In particular, the results also suggest that size and companies in the agricultural sector are significantly associated with the voluntary disclosure of all four types of information disclosures. The determinants of voluntary disclosure in Saudi Arabia: an empirical study

Our study has three objectives. The first is to determine the voluntary disclosure level in Saudi Arabia. The second is to compare this level with that of some other Arab countries. The third is to identify the main drivers of voluntary disclosure in Saudi Arabia. We use a 54-item disclosure checklist and apply the regression and content analyses to examine a sample of 361 firm-year observations of firms listed on Saudi Stock Exchange during 2007-2011. We find the voluntary disclosure average is 18.38% and that the firm size, age, profitability, auditor specialisation, family ownership, and industry type positively affect voluntary disclosure. We find, however, a negative relation between firm leverage and voluntary disclosure. Our analysis also shows that board independence, Big4 and state ownership have no impact on voluntary disclosure. Our findings should be of interest to the regulating bodies, accounting standards' setters, auditors and managers.

Drivers of Corporate Voluntary Disclosures: Empirical Evidence from Sri Lankan Listed Companies

Stakeholders’ dissatisfaction with traditional mandatory financial reporting has led to increase the demand for more comprehensive voluntary information disclosures. As such, the corporate disclosure practices in Sri Lanka have changed dramatically in recent years. The purpose of this study is to identify the drivers of corporate voluntary disclosures in Sri Lankan listed companies. This study provides new insights about voluntary disclosures in Sri Lankan context since few studies have been conducted. Sixty non-financial companies were selected based on market capitalization for the study purpose. Company annual reports from 2009 to 2014 were scrutinized to find the voluntary disclosures. Panel regression was utilized due to the nature of time series and cross sectional. This study demonstrated that the level of voluntary disclosure in Sri Lankan listed companies is lower compared to other emerging countries. It is confirmed that the size of firm was the more significant factor in determining voluntary disclosure practices in Sri Lanka. Moreover, block holders negatively influenced to the voluntary disclosures in Sri Lankan listed companies. However, corporate governance variables do not have any impact to the voluntary disclosure practices. Furthermore, profitability, leverage, industry category are not influencing voluntary disclosure practices. This study has found that auditors’ duty has been limited to financial statements in Sri Lankan listed companies. The outcome of this study would encourage in developing standards for the disclose of information in annual reports and also persuade corporate managers to reform disclosure practices.

Industry Characteristics And Voluntary Disclosure In Private Mining And Manufacturing Firms In Tanzania

Disclosure of corporate information forms an integral part of the corporate governance framework and lies at the center of most of the corporate governance codes, principles and reports around the world given its indispensable contribution to market and firm performance. Unfortunately, corporate disclosure is not a central aspect of corporate governance in Tanzania. It is noted that the lack of adequate voluntary corporate disclosure is one of the biggest challenges facing the implementation of effective corporate governance in Tanzania. In turn, lack of sound corporate governance has fueled corruption and cronyism while suppressing sound and sustainable economic decisions. To address this major problem, this paper investigates the determinants of voluntary disclosure in 107 private Tanzanian mining and manufacturing firms. This study uses a longitudinal approach as variation across firms and over time. To this end, 2011–2015 is selected for the longitudinal analysis. Annual reports of 107 private firms was used to collect data in relation to ownership structures, financial performance and firm size. This data was analyzed using a random effects Generalized Least Squares (GLS) model with Mundlak (1978) corrections. Our results show that ownership structures are associated with voluntary disclosure. Specifically, ownership concentration is negatively associated with voluntary disclosure in mining companies while it is positively associated in manufacturing firms. Foreign ownership is positively associated with voluntary disclosure for both mining and manufacturing firms. Further, the results reveal that financial performance is associated with voluntary disclosure where leverage is positively related to voluntary disclosure in mining and manufacturing firms while liquidity is significantly associated with voluntary disclosure in mining companies only. Our results also show that mining companies disclose 3.2% more information than manufacturing firms. Relevant policies to promote voluntary disclosure should be directed at facilitating foreign direct investment and leverage. These policies include developing impartial court systems, development of infrastructure, provision of quality education, tax holidays and tax credit. It is recommended that loan guarantee provided by public financial institutions can be used to reduce risk. In addition, foreign exchange liquidity facilities can reduce risk associated with borrowing money in different currencies.

Impact of Efficiency on Voluntary Disclosure of Non-Banking Financial Company—Microfinance Institutions in India

This paper investigates how the financial and social efficiency of firms influence the extent of the voluntary disclosure of Non-Banking Financial Companies–Micro Financial Institutions (NBFC-MFI). The study constructed an unweighted index of voluntary disclosure to estimate the level of voluntary disclosure of all of the included firms from the years 2015–2019. The financial and social efficiency, which is analogous to the technical efficiency of production theory and analyses both sustainability and outreach, respectively, was estimated using data envelopment analysis (DEA). The panel data analysis was completed, and a positive association of financial efficiency was estimated. The social efficiency was found to have no relationship to the voluntary disclosure level. This paper contributed to the literature by providing new determinants of voluntary disclosure. The study examines the econometric model and suggests that financially sustainable firms that utilize these resources well are more open to outsiders, while socially efficient firms are reluctant to voluntary disclosure, which also includes social activities, and consider this as a wasteful activity. The findings of this study are relevant to industry practitioners and regulators, who need to think upon the sustainability of this crucial sector by meeting the dual objectives of financial and social performance. This study is helpful to all stakeholders as well as for the government, who can use the results to design additional rules for the NBFC–MFI. This study will also help firms to design disclosure strategies to ascertain goodwill and less cost of capital, with easy access to funds.

Determinants of Quantitative Information Withholding in Annual Reports

In recent years, the determinants of voluntary disclosure have been explored in an extensive body of empirical research. One major limitation of those studies is that none has tried to find out whether voluntary disclosures were occasional or continuous over time. Yet this point is particularly important, as the voluntary disclosure mechanism can only be fully effective if the manager consistently reports the same items. This paper examines the factors associated with the decision to stop disclosing an item of information previously published voluntarily (henceforth ‘information withholding’ or IW). To measure information withholding, we code 178 annual reports of French firms for three consecutive years. Although disclosure scores are relatively stable over time, we find that this does not mean there is no change in voluntary disclosure across the years. We document that IW is a widespread practice: on average, one voluntary item out of seven disclosed in a given year is withheld the following year. We show that information withholding is mainly related to the firm's competition environment, ownership diffusion, board independence and the existence of a dual leadership structure (separate CEO and chairman).

Audit Committee Chair Monitoring Incentives to Use Voluntary Disclosure in the Audit Committee Report Under High Agency Conflicts

This study evaluates whether an association exists between the agency incentives of the audit committee chair and voluntary disclosure of their monitoring activities in their audit committee report. Prior research suggests that a shift toward greater voluntary disclosure in the audit committee report occurred following the passage of the Sarbanes–Oxley Act but does not directly address the determinants of voluntary disclosure. Consistent with agency theory, audit committee chairs signal their duty-specific monitoring activities to shareholders, possibly to protect their reputation and justify their compensation. Within a high-litigation industry, this study provides evidence that audit committee chairs with a greater reputation level (i.e., more public company directorships) provide more concise duty-specific voluntary disclosure when serving companies with high levels of agency conflicts. This provides evidence consistent with efficiency in the market for audit committee chairs. This study also provides evidence that audit committee chairs respond to likely shareholder concerns by providing more concise duty-specific voluntary disclosure when their company has previously restated its financials. Finally, audit committee chairs provide increased voluntary disclosure specifically related to external audit oversight when high agency conflicts exist. As a whole, this contributes to the existing audit committee literature by providing evidence that voluntary disclosure incentives for financial reporting are also important determinants of more qualitative compliance-based reporting in the proxy statement. This has implications for accounting and governance practitioners as voluntary audit committee report disclosure offers shareholders detailed information that they may use in evaluating audit committee monitoring performance.

The quality and determinants of voluntary disclosures in annual reports of Shari'ah compliant companies in Malaysia

PurposeThe aim of this study is to investigate the quality of voluntary disclosure practices by Shari'ah compliant companies (ShCCs) in Malaysia. The study also examines factors influencing the quality of voluntary disclosures.Design/methodology/approachUsing a weighted disclosure analyses approach, a self‐constructed disclosure checklist was developed to measure the quality of corporate voluntary disclosures (CVDs). The study examines the annual reports of a sample of 76 ShCCs selected from various sectors listed on Bursa Malaysia in the year 2009.FindingsThe results indicate that the quality of voluntary disclosures by ShCCs is in overall low consistent with prior studies that gauged the quality of CVDs in Malaysia. The multivariate regression analyses reveal that board size is significant in explaining the quality of CVDs at the 5 percent significance levels. Company size and leverage as control variables are also significant at the 1 and 10 percent significance levels in determining the quality of CVDs by ShCCs. The reduced regression model further indicates that government ownership is highly significant at the 1 percent significance level in explaining the quality of CVD by ShCCs while leverage is significant at the 5 percent levels.Practical implicationsThe low level of corporate disclosures by the ShCCs in Malaysia suggests that these companies require awareness on matters relating to the concepts of accountability and full disclosures in becoming accountable to the community. Hence, the Shari'ah Advisory Council of the Securities Commission Malaysia should provide awareness on matters relating to accountability and transparency which could lead to socio economic justice. The commission may also introduce a detailed reporting guideline for the companies to follow.Originality/valueThis study provides useful insights on the disclosure quality of ShCCs in Malaysia which remained largely unexplored. The study also represents the first empirical investigation toward the association between voluntary disclosures by ShCCs and corporate governance attributes in the Malaysian context.

Managerial ability and voluntary ESG disclosure and assurance: evidence from Taiwan

PurposeThe purpose of this study is to explore the effect of managerial ability on voluntary environmental, social and governance (ESG) disclosure and assurance. By focusing on managerial ability, this study provides a more nuanced understanding of the factors influencing a firm’s ESG disclosure and assurance practices. This study contributes to a relatively unexplored area of study regarding the role of top management in promoting ESG reporting.Design/methodology/approachThis study draws on a sample of publicly listed firms from 2014 to 2019 in Taiwan and applies the data envelopment analysis method to measure managerial ability. Heckman’s (1979) two-step model is used to estimate the primary models to prevent the results from being affected by possible bias because of self-selection.FindingsThe empirical evidence suggests that managerial ability is positively related to voluntary ESG disclosure and intention to seek third-party assurance of the report. Overall, managerial ability determines whether a firm will use voluntary ESG disclosure and assurance as a corporate strategy to respond effectively to stakeholders’ needs. The findings are robust after using alternative measures of managerial ability.Practical implicationsInvestors and other stakeholders keen on seeking ESG information offered by companies could find the findings of this study valuable. By better comprehending how managerial competence impacts voluntary ESG disclosure and assurance, stakeholders may be better equipped to hold companies responsible for their ESG disclosure practices and make informed investment decisions.Social implicationsIn the ESG decision-making process, managers with better abilities have a higher tendency to use voluntary disclosure and assurance as a part of the company’s sustainable policy.Originality/valueUnlike previous studies of the determinant factors of ESG disclosure, which mainly explore factors at the national or corporate level, this study focuses on factors at the individual level (i.e. managerial ability) to fill the gap in the literature. This study also presents empirical evidence that corroborates the idea that managerial competence can influence not only ESG disclosure but also the voluntary assurance of ESG information.
