Abstract

On November 17, 2011, Institutional Shareholder Services (“ISS”) released “Guidelines U.S. Corporate Governance Policy-2012 Updates” (“ISS Guidelines”) . This publication introduced a new ISS pay for performance measurement methodology that was implemented for Russell 3000 companies with annual meetings beginning on March 1, 2012. This article offers information on aligning long-term incentive awards with total shareholder return (“TSR”) performance.
