Abstract

Since 1.1.2019 the Cooperatives Demerger Act is in force. In addition to the existing possibility of a merger under the Cooperatives Merger Act, cooperatives can now transfer parts of their assets or business by way of universal succession through demerger. This article presents the process of the cooperative demerger in detail and deals with the role of the auditor as well as the implementation of effective creditor protection as special topics. Furthermore, it shows the peculiarities of a credit cooperative’s demerger.
