Abstract

The vast literature on mergers and acquisitions suffers from sample selection biases because private targets are not included in most samples. In this paper, we develop a model outlining how private information plays an important role in explaining differences in acquirer returns for public versus private targets (mean, variance and skewness). We also identify contingent factors that moderate the relationships between target ownership and acquirer returns.
